The Annual General Meeting (AGM) of the New Zealand AIDS Foundation will be held at 1:30pm on Saturday, 16 November 2019 at the NZAF National Office, 31 Hargreaves Street, College Hill, Auckland.

Invitation to stand for election to the NZAF Trust Board

The New Zealand AIDS Foundation (NZAF) Trust Board announces one vacancy for an elected Trustee position on the Trust Board.

The Trust Board encourages qualified and enthusiastic candidates to stand for election to this position at the next Annual General Meeting (AGM), to be held on 16 November 2019.

Key information for candidates

Participating on the Trust Board is demanding, but can be a rewarding way of serving both the NZAF and the communities affected by HIV and AIDS. Candidates should be aware of the significant amount of time required of Board members, including six full-day Board meetings each year, plus additional meetings and sub-committee time, travel (for those outside of Auckland) and attendance at community events as required.

A Nomination Form can be downloaded from the Documentation section below, along with the Trustee Position Description. The Nomination Form can also be completed online here. Each application must be supported by two nominators who must be NZAF members at the time of nomination. In accordance with the NZAF Trust Deed, current NZAF employees may nominate candidates, but may not vote in Trust Board elections.

Candidates must also meet the requirements for officers of charitable entities under s 16 of the Charities Act 2005 unless they are granted a waiver by the Charities Registration Board. These requirements can be consulted here: www.legislation.govt.nz

The Trust Board encourages all members to put themselves forward for election, including members who have knowledge of tikanga Māori, who are HIV positive (regardless of disclosure status), who are women, and/or are trans, Pasifika, African or Asian.

The deadline for submitting completed nomination forms is 5pm on Wednesday, 9 October 2019. Forms can be completed online or by hard copy returned to:

Potential candidates are also welcome to contact the Deputy Chair of the Board, Sam Humphrey at sam.humphrey@nzaf.org.nz, to discuss the role and the commitment required of Trustees in more detail.

Voting for an elected Trustee position

All those who are registered as members of the NZAF by 16 September 2019 will be eligible to vote in the upcoming election.

Members will again be offered two options for voting this year: a confidential online voting service managed by an external organisation, BigPulse, or a postal ballot. The Trust Board hopes that the convenience of online voting will encourage as many members to vote as possible.

Voting papers (electronic or postal) and details of the candidates will be issued with the AGM Information Pack by Wednesday, 16 October 2019. The successful candidate will be announced at the AGM in November.

If you wish to vote using the online service but have changed your email address since becoming a member of the NZAF, please contact the Trust Board Secretary at virginia.cattell@nzaf.org.nz by 5pm on Wednesday, 9 October 2019 so that your email address can be correctly registered. Members who share an email address may also wish to provide the NZAF with a second email address, since each address will only be permitted to vote once.

Members who have not provided an email address will continue to receive a postal voting pack.

All voting, whether postal or electronic, is completely anonymous.

The notice of the AGM for NZAF, which will be held at 1.30pm on Saturday, 16 November 2019 can be found in the Documentation section below. The AGM notice invites members to submit remits to be considered by members at the AGM. Remits will need to arrive at NZAF’s National Office (by fax or by post), or by email to the Trust Board Secretary at virginia.cattell@nzaf.org.nz by 5pm on Wednesday, 9 October 2019.
